03
Business-to-Business Use
Nexsol provides technology services primarily to businesses, companies, organisations and other commercial entities.
This website is not primarily intended for consumer transactions.

Information about services on this website should not be interpreted as confirmation that every feature, integration, platform or service will be appropriate or available for every customer.
05
Platform Recommendations
Nexsol works across multiple technology platforms, including Microsoft Dynamics 365 and Acumatica.
Where Nexsol provides platform advice, the recommendation will ordinarily be based on the information available regarding the customer's business requirements, technology environment, operational needs and intended outcomes.
A recommendation made during an initial enquiry, consultation or website interaction should not be treated as a final solution recommendation until appropriate discovery or assessment has been completed.
Nexsol may determine during discovery that a different platform, scope or implementation approach is more appropriate than originally anticipated.
06
Quotations and Pricing
Nexsol does not publish standard project pricing because engagements are scoped according to each customer's requirements.
Any price discussed informally, estimated verbally, displayed in preliminary correspondence or provided before a formal scope has been completed should be regarded as indicative only unless expressly stated otherwise.
A binding price will only arise where Nexsol has issued an authorised written quotation, proposal, agreement or statement of work and the relevant terms have been accepted.
Unless otherwise stated in writing:
- pricing may exclude applicable taxes;
- licensing fees may be charged separately;
- third-party costs may be excluded;
- additional work outside the agreed scope may be quoted separately;
- changes to requirements may affect price and delivery timelines; and
- recurring support, cloud, hosting or licensing costs may continue after implementation.
07
Proposals and Statements of Work
A formal engagement may be governed by additional documents, including:
- proposal;
- quotation;
- statement of work;
- master services agreement;
- licence agreement;
- support agreement;
- project schedule;
- implementation plan; or
- other written agreement.
Where there is any conflict between these website Terms and Conditions and a signed customer agreement, the signed customer agreement will take precedence in relation to that engagement.
08
No Contract Created by Website Use
Submitting a website form, requesting a consultation, asking for a quotation or corresponding with Nexsol does not by itself create a contractual relationship.
A contract will only be created when the relevant commercial terms have been formally agreed and accepted by authorised representatives of the parties.
Nexsol reserves the right to decline an enquiry, project or prospective engagement at its discretion.
09
Project Scope
ERP, CRM, integration and business intelligence projects are dependent on accurate scope definition.
The customer may be required to provide information relating to:
- existing systems;
- business processes;
- data;
- entities;
- integrations;
- reporting requirements;
- licensing;
- infrastructure;
- users;
- security requirements;
- compliance requirements; and
- project objectives.
Nexsol may rely on information supplied by the customer when developing a proposed scope.
Incomplete, inaccurate or changing requirements may affect cost, delivery dates, functionality or project outcomes.
10
Customer Responsibilities
Where services are provided under a separate engagement, the customer may be responsible for matters such as:
- providing accurate and complete information;
- appointing suitable internal project representatives;
- making relevant personnel available;
- providing access to systems and data where required;
- reviewing project deliverables within agreed timeframes;
- participating in testing;
- approving decisions and configurations;
- ensuring authorised use of third-party software;
- maintaining appropriate backups where required;
- obtaining necessary third-party permissions; and
- meeting agreed payment obligations.
Specific responsibilities will be defined in the relevant project agreement.
11
Implementation Timelines
Any implementation timeline discussed before final scope approval is an estimate only unless expressly confirmed in a written agreement.
Delivery may be affected by matters including:
- customer availability;
- delayed approvals;
- data quality;
- third-party dependencies;
- licensing;
- integration complexity;
- custom development;
- infrastructure requirements;
- change requests;
- external vendors; or
- circumstances beyond Nexsol's reasonable control.
Changes to scope may require corresponding changes to project timelines.
12
Data Migration
Where Nexsol provides data-migration services, the quality and completeness of the migration will depend on the condition, structure, accessibility and integrity of the source data.
Customers remain responsible for confirming that:
- source data is lawfully held;
- Nexsol is authorised to process the data;
- appropriate backups exist;
- required records have been identified; and
- migrated data is reviewed and approved where required.
Nexsol cannot guarantee that poor-quality, incomplete, corrupted or undocumented legacy data can be migrated without adjustment, cleansing or exclusion.
13
Integrations
Nexsol may integrate customer systems with third-party software, applications, APIs or services.
The availability and continued operation of an integration may depend on third parties outside Nexsol's control.
Third-party providers may change:
- APIs;
- technical specifications;
- authentication requirements;
- pricing;
- functionality;
- security requirements;
- service availability; or
- licensing conditions.
Where such changes affect an implementation or existing integration, additional work may be required.
14
Third-Party Technology and Licensing
Nexsol implements and supports technology supplied by third-party vendors, including Microsoft and Acumatica.
Third-party products and services may be subject to separate:
- licence agreements;
- subscription terms;
- privacy policies;
- service-level agreements;
- acceptable-use policies; and
- pricing structures.
Nexsol does not own or control those third-party platforms.
The availability, performance, functionality and continued support of third-party technology remain subject to the relevant vendor's terms and decisions.
Customers should review the applicable vendor terms before purchasing or using third-party products.
15
Software Licensing
Software licensing requirements vary according to the platform, number or type of users, resource consumption, modules, entities, environments and other commercial factors.
Nexsol may assist customers in understanding licensing requirements, but licensing is ultimately subject to the terms and pricing of the relevant software vendor.
Vendor pricing may change independently of Nexsol.
16
Website Accuracy
Nexsol takes reasonable care to ensure that website content is accurate and current.
However, technology products, licensing, features and service offerings can change.
We do not warrant that all website information will always be:
- complete;
- current;
- free from errors;
- suitable for every organisation; or
- applicable in every jurisdiction.
Nexsol may update or remove website content without notice.
17
No Guarantee of Business Outcomes
Technology implementation can materially improve business processes, visibility and operational control, but the success of any project depends on numerous factors.
Nexsol does not guarantee particular:
- financial returns;
- cost savings;
- revenue growth;
- productivity improvements;
- business performance;
- implementation outcomes; or
- commercial results
solely as a result of information contained on this website.
Any expected benefits should be assessed in the context of the customer's particular business environment.
18
Managed Support
Where Nexsol provides ongoing support or managed services, those services will be governed by the applicable support agreement or service terms.
Support arrangements may define matters including:
- support hours;
- response times;
- escalation procedures;
- supported systems;
- exclusions;
- service levels; and
- additional charges.
The existence of a support contact form or support email address on the website does not by itself create a service-level commitment.
19
Customer Support Requests
Customers may submit support requests through the channels made available by Nexsol.
Users must not knowingly submit:
- malicious code;
- unlawful material;
- passwords;
- unnecessary authentication credentials;
- fraudulent information; or
- content that infringes third-party rights.
Nexsol may request additional information before investigating a support issue.
20

Unless otherwise stated, all content made available on the Nexsol website, including:

- website code

Where confidential business information is required for an assessment, proposal or project, Nexsol may enter into appropriate confidentiality arrangements where necessary.

Subject to any mandatory legal rights that may apply, disputes relating to the use of this website will be subject to the jurisdiction of the appropriate South African courts.

The remaining provisions will continue to apply.
